Conditions of Registration


  1. The registrant (if the registrant is a company, then at least one of its duly appointed directors) must submit:-
    1. This Registration of Intent duly completed and submitted by the registrant (if the registrant is a company, duly submitted by at least one of its duly appointed directors for and on behalf of the registrant) ; and
    2. A registration deposit (the "Registration Deposit") in the amount of HK$200,000 for each residential property that the registrant intends to purchase, which shall be paid by one of the following methods:-
      1. By cashier order(s)
        For each residential property that the registrant intends to purchase, a cashier order in the sum of HK$200,000 made payable to "MAYER BROWN", shall be submitted to the designated venue, during the designated time period on the designated date as stipulated in the "Information of Sales Arrangements" issued or to be issued by the Vendor from time to time ("Sales Arrangements"); or
      2. By online payment (credit card(s))
        To facilitate the online payment of the Registration Deposit by way of credit card(s), the registrant shall :-
        1. provide credit card(s) information in this Registration of Intent; and
        2. (for himself/herself/themselves and on behalf of the relevant credit card(s) holder(s)) irrevocably authorize Swire Properties Real Estate Agency Limited ("Escrow Agent") (as escrow agent) to hold an amount equivalent to the Registration Deposit for each residential property that the registrant intends to purchase from the relevant credit card(s) on or around 7 days before the first date of sale as stipulated in the Sales Arrangements. If the registrant is not the credit card(s) holder(s), the registrant warrants to the Vendor and the Escrow Agent that the registrant has been duly authorized by the credit card(s) holder(s) to use his/her/their credit card(s) for the above purposes; and
        3. (for himself/herself/themselves and on behalf of the relevant credit card(s) holder(s)) irrevocably authorizes the Escrow Agent to complete the payment transaction of the Registration Deposit which will be transferred to the Vendor's solicitors and applied for part payment of the preliminary deposit of the residential property.

        The registrant confirms that the relevant credit card(s) shall have sufficient available credit limit for payment of the Registration Deposit for each residential property that the registrant intends to purchase. If the transaction(s) relating to the credit card(s) referred to in paragraphs B and/or C above fails or is/are rejected for whatever reason, the relevant Registration of Intent shall be deemed to be void and of no effect.
  2. After the submission of Registration of Intent, the registrant will receive an official receipt for the Registration of Intent via the system in an email issued by Swire Properties Real Estate Agency Limited as agent for the Vendor. The Vendor has the absolute discretion to determine whether a Registration of Intent is valid pursuant to the terms and conditions set out in the Registration of Intent.
  3. The Registration of Intent is personal to the registrant and shall not be transferable.
  4. A registrant (whether under single name or joint names) shall only submit one Registration of Intent in either Group A or Group B, and may purchase not more than two (2) residential properties pursuant to one Registration of Intent. If any of the name(s) of the registrant appears in more than one Registration of Intent, all such Registrations of Intent other than the earliest one (by reference to the registration number assigned by the Vendor) shall be deemed to be void and of no effect.
  5. (If Registration Deposit is paid by credit card(s)) If the registrant has successfully purchased residential property(ies), the Registration Deposit for each of the residential property(ies) purchased by the registrant will be transferred to the Vendor’s solicitors and applied for part payment of the preliminary deposit of the residential property. The balance of the preliminary deposit shall be paid upon signing the preliminary agreement for sale and purchase by cheque(s).
  6. (If Registration Deposit is paid by cashier order(s)) The cashier order(s) submitted by registrant will not be banked in for the time being. If the registrant shall have successfully purchased any residential property, the cashier order(s) will be used as part payment of the preliminary deposit for the purchase of such residential property(ies). The balance of the preliminary deposit shall be paid upon signing the preliminary agreement for sale and purchase by cheque(s).
  7. A registrant may on spot decide to increase the number of residential property(ies) which he/she/it/they intend(s) to purchase as specified in the Registration of Intent PROVIDED THAT :-
    1. the registrant must on spot either submit an additional cashier order in the sum of HK$200,000 made payable to "MAYER BROWN" or pay an additional Registration Deposit in the sum of HK$200,000 by credit card to the Escrow Agent (as escrow agent) for each additional residential property he/she/it/they intend(s) to purchase;
    2. the number of residential properties which the registrant intends to purchase must not in any event exceed two; and
    3. the registrant shall also comply with other requirements as set out in the Sales Arrangements.
  8. The registrant understands and acknowledges that the order of submission of the Registration of Intent will not have any impact on the order of priority for selecting the residential property(ies). For details of the sales arrangements of the residential properties in the development, please refer to the Sales Arrangements.
  9. Before entering into the preliminary agreement for sale and purchase,
    1. the registrant may on spot make request to the Vendor to add any individual(s) who is/are the immediate family member(s) (i.e. grandparents, parents, spouse, siblings, children and grandchildren) of the registrant (or any one or more individual(s) comprised in the registrant) as joint purchaser(s) provided that the registrant must provide relevant proof and valid supporting documents to prove the relationship(s) to the satisfaction of the Vendor.
    2. If the registrant intends to purchase more than one residential property,

      If the registrant(s) is/are individual(s)
      1. At least one of the selected residential properties shall be purchased in the name of the registrant with or without one or more immediate family member(s) of the registrant (or any one or more individual(s) comprised in the registrant).
      2. The remaining selected residential property(ies) may be purchased in the name of :-
        1. the registrant with or without one or more immediate family member(s) of the registrant (or any one or more individual(s) comprised in the registrant); or
        2. any one or more individual(s) comprised in the registrant, with or without one or more immediate family member (s) of the registrant (or any one or more individual(s) comprised in the registrant); or
        3. any one or more immediate family member(s) of the registrant (or any one or more individual(s) comprised in the registrant).

        If the registrant is a company
      3. At least one of the selected specified residential properties shall be purchased in the name of the registrant.
      4. The remaining selected specified residential property(ies) may be purchased in the name of :-
        1. the registrant; or
        2. a company which is incorporated in Hong Kong and any one director of which must be the same person as any one director of the registrant.

        The registrant must provide relevant proof and valid supporting documents to prove the relationship(s) to the satisfaction of the Vendor.
  10. (If Registration Deposit is paid by credit card(s)) In respect of any unused Registration Deposit, the credit amount held by the Escrow Agent from the credit card(s) designated by the registrant will be released on or around the 7th day after the date on which the credit amount was authorized to be held.
  11. (If Registration Deposit is paid by cashier order(s)) Any unused cashier order will be available for collection by the registrant in person. The registrant must show the official receipt of Registration of Intent at the sales office during the period specified by the Vendor in the Sales Arrangements.
  12. The Vendor may at its absolute discretion declare a Registration of Intent invalid upon happening of any of the following events:
    1. The registrant has not properly and completely filled in the Registration of Intent.
    2. The Escrow Agent or the Vendor shall for whatever reason be unable to debit/hold the Registration Deposit from the credit card(s) designated by the registrant for each residential property the registrant intends to purchase.
    3. Any breach of the Conditions of Registration by the registrant.
    4. The registrant has provided false, fraudulent or misleading information to the Vendor in the Registration of Intent.
    5. The number of Registration(s) of Intent submitted by the registrant exceeded the maximum number permitted by the rules set out in these Conditions of Registration or the Sales Arrangements.
  13. "Residential property" in this Registration of Intent only refers to the specified residential property set out in the price list(s) which has been made available by the Vendor to the public pursuant to the Residential Properties (First-hand Sales) Ordinance (Cap. 621).
  14. Registrant(s) must not express his/her intent to purchase any particular residential property(ies) in this Registration of Intent. Any specific expression of intent to purchase particular residential property(ies) will be rejected.

Points to note:

  1. In case of inconsistency between Chinese and English versions of this Registration of Intent and/or these Conditions of Registration, the English version shall prevail.
  2. The procedures and conditions of this Registration of Intent do not constitute any offer, representation or warranty to sell any residential property by the Vendor.
